Terms of Service

1. Acceptance of Terms

By accessing or using the SPATIORO platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Services.

2. Definitions

• Platform: The SPATIORO spatial intelligence software, infrastructure, and interfaces.
• Customer: The organization or entity that subscribes to or uses the Services.
• User: Any individual authorized by the Customer to access the Platform.
• Customer Data: Any spatial data, floor plans, asset information, occupancy metrics, or other content uploaded or processed by the Customer within the Platform.

3. Accounts and Security

To access the Platform, you must have an authorized account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must immediately notify SPATIORO of any unauthorized access or security breaches. SPATIORO is not liable for losses resulting from compromised credentials.

4. Use of the Service

Subject to these Terms and any applicable enterprise agreements, SPATIORO grants the Customer a limited, non-exclusive, non-transferable right to access and use the Platform for internal business purposes.

5. Prohibited Conduct

Users shall not:

• Use the Services for any unlawful purpose or in violation of any applicable regulations.
• Attempt to bypass, disable, or interfere with the Platform's security, access controls, or data isolation mechanisms.
• Reverse engineer, decompile, or extract the source code of the Platform, except where permitted by applicable law.
• Upload malicious code, viruses, or data intended to disrupt the Platform or connected third-party systems.
• Resell, sublicense, or distribute the Services to unaffiliated third parties without written consent.

6. Customer Data

The Customer retains all rights and ownership of their Customer Data. By using the Services, you grant SPATIORO a limited license to process, host, and display the Customer Data solely as necessary to provide, maintain, and secure the Platform.

7. Intellectual Property

All rights, title, and interest in and to the SPATIORO Platform—including its architecture, algorithms, interface designs, trademarks, and documentation—are the exclusive property of SPATIORO. These Terms do not grant any ownership rights to the Platform software.

8. Third-Party Integrations

The Platform may integrate with third-party systems (e.g., IoT providers, BMS, ERPs). SPATIORO is not responsible for the availability, security, or data practices of these external systems. Your use of third-party integrations is governed by the respective terms of those providers.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SPATIORO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SPATIORO DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPATIORO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES.

11. Suspension and Termination

SPATIORO reserves the right to suspend or terminate access to the Services immediately if a User violates these Terms or poses a security risk to the Platform infrastructure.

12. Governing Law

These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which the SPATIORO legal entity is registered, without regard to conflict of law principles.
